These Terms of Service ("Terms") govern your access to and use of the Andrea mobile application and related services (collectively, the "Service") provided by Silver Flight Group, LLC ("we," "our," "us," or "Company").

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICE.

BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.

1. Acceptance of Terms

1.1 Agreement to Terms

By creating an account, accessing, or using Andrea, you agree to:

  • These Terms of Service
  • Our Privacy Policy (incorporated by reference)
  • All applicable laws and regulations

1.2 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via:

  • Email to your registered address
  • In-app notification
  • Update to the "Last Updated" date

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

1.3 Eligibility

You must be:

  • At least 13 years old (or 16 in the EEA)
  • Legally capable of entering into binding contracts
  • Not prohibited from using the Service under applicable laws

2. Description of Service

2.1 Andrea Service

Andrea is an AI-powered voice assistant that:

  • Processes voice and text commands using artificial intelligence
  • Integrates with third-party services (Gmail, Calendar, Slack, etc.) to execute tasks
  • Uses Anthropic's Claude AI for natural language understanding and response generation
  • Provides conversational interaction for productivity and task automation

2.2 Voice Processing

The Service includes voice recognition capabilities that:

  • Record your voice input
  • Transmit voice data to our servers and third-party speech recognition services
  • Convert speech to text for AI processing
  • Automatically delete voice recordings after transcription

Important: By using voice features, you consent to voice data collection and processing as described in our Privacy Policy.

2.3 Third-Party Integrations

Andrea connects to third-party services through:

  • OAuth 2.0 authentication
  • API integrations authorized by you
  • Service-specific permissions you grant

Important: You are responsible for reviewing and accepting the terms of service and privacy policies of each third-party service you connect.

2.4 Service Availability

  • We strive to provide 99.9% uptime but do not guarantee uninterrupted access
  • The Service may be temporarily unavailable for maintenance, updates, or technical issues
  • We reserve the right to modify, suspend, or discontinue any part of the Service at any time

3. Account Registration and Security

3.1 Account Creation

To use Andrea, you must:

  • Provide accurate, current, and complete information
  • Maintain and update your account information
  • Create a secure password
  • Verify your email address

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

Warning: We are not liable for any loss or damage arising from your failure to protect your account information.

3.3 One Account Per User

You may not:

  • Create multiple accounts
  • Share your account with others
  • Allow others to use your account
  • Transfer or sell your account

4. Use of Service

4.1 Permitted Use

You may use Andrea for:

  • Personal productivity and task management
  • Communication with third-party services
  • Information retrieval and assistance
  • Lawful purposes consistent with these Terms

4.2 Prohibited Use

You may NOT use Andrea to:

  • Violate any laws, regulations, or third-party rights
  • Impersonate any person or entity
  • Transmit malware, viruses, or harmful code
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any part of the Service
  • Use automated systems (bots, scrapers) without our written permission
  • Reverse engineer, decompile, or disassemble the Service
  • Remove or modify any proprietary notices or labels
  • Use the Service for illegal activities, harassment, or abuse
  • Generate or distribute spam, phishing, or fraudulent content
  • Violate the terms of service of connected third-party services
  • Use the Service to harm minors in any way
  • Collect or harvest user information without consent
  • Overload, flood, or perform denial-of-service attacks

4.3 Content Standards

Content you submit through Andrea must:

  • Comply with all applicable laws
  • Not infringe intellectual property rights
  • Not contain harmful, offensive, or illegal material
  • Not violate privacy rights of others

5. Third-Party Services and Integrations

5.1 Third-Party Service Authorization

When you connect third-party services (Gmail, Calendar, Slack, etc.):

  • You grant Andrea permission to access those services on your behalf
  • You must comply with each service's terms of service and acceptable use policies
  • You are responsible for any consequences of actions taken through Andrea on those services

5.2 Third-Party Service Terms

Connected services have their own terms and policies:

  • Google Services: Subject to Google Terms of Service and Privacy Policy
  • Slack: Subject to Slack Terms of Service and Privacy Policy
  • Microsoft Services: Subject to Microsoft Service Agreement
  • Other Services: Subject to their respective terms

Important: Your use of third-party services through Andrea is governed by their terms, not solely by these Terms.

5.3 OAuth Permissions

When connecting services, you authorize Andrea to:

  • Access the specific data and functions you approve during OAuth
  • Store encrypted OAuth tokens
  • Refresh tokens automatically to maintain service connections
  • Perform actions on your behalf based on your commands

5.4 Revoking Access

You may revoke Andrea's access to third-party services:

  • At any time through the App settings
  • Through the third-party service's permission settings
  • Upon revocation, associated OAuth tokens are deleted

5.5 No Liability for Third-Party Services

We are NOT responsible for:

  • The availability, performance, or content of third-party services
  • Actions taken by third-party services based on Andrea's requests
  • Data loss or security issues with third-party services
  • Changes to third-party APIs or service interruptions

6. Artificial Intelligence and AI-Generated Content

6.1 AI Processing

Andrea uses Anthropic's Claude AI to:

  • Understand natural language inputs
  • Generate responses and suggestions
  • Execute tasks across integrated services
  • Provide conversational interaction

6.2 AI Limitations

You acknowledge that AI-generated content:

  • May contain errors, inaccuracies, or be incomplete
  • Should not be relied upon for critical decisions without human review
  • Reflects patterns in training data and may have biases
  • Is not a substitute for professional advice (legal, medical, financial, etc.)

6.3 No Professional Advice

Andrea does NOT provide:

  • Legal, medical, financial, or other professional advice
  • Guaranteed accurate information for time-sensitive or critical matters
  • Diagnostic or therapeutic services

Important: Always verify important information and consult qualified professionals for expert advice.

6.4 Your Responsibility

You are responsible for:

  • Reviewing AI-generated content before acting on it
  • Verifying accuracy of information
  • Ensuring compliance with applicable laws and regulations
  • Any consequences of acting on AI-generated suggestions

7. Intellectual Property Rights

7.1 Our Rights

The Service and its content (excluding user content) are owned by Silver Flight Group, LLC and are protected by:

  • Copyright, trademark, patent, and trade secret laws
  • International treaties and conventions

This includes:

  • Andrea software and mobile applications
  • Design, graphics, and user interface
  • Proprietary algorithms and technology
  • Documentation and materials

7.2 License to Use Service

We grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Service for personal, non-commercial purposes
  • Use the Service in accordance with these Terms

You may NOT:

  • Copy, modify, or create derivative works
  • Sell, rent, lease, or sublicense the Service
  • Use the Service for commercial purposes without our written consent

7.3 Your Content

You retain ownership of content you submit through Andrea. By using the Service, you grant us:

  • A worldwide, non-exclusive license to use your content for providing the Service
  • Right to process your voice and text inputs through our AI systems
  • Right to store conversation history as described in our Privacy Policy

7.4 Feedback

If you provide feedback, suggestions, or ideas about Andrea:

  • We may use them without obligation or compensation to you
  • You waive any ownership rights to such feedback
  • Feedback becomes our property

7.5 Trademarks

"Andrea," our logo, and other marks are trademarks of Silver Flight Group, LLC. You may not use our trademarks without written permission.

8. Privacy and Data Protection

8.1 Privacy Policy

Our collection, use, and protection of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Key privacy practices:

  • Voice recordings deleted after transcription
  • OAuth tokens encrypted with AES-256
  • Conversation history retained until you delete it
  • Row-level security for data isolation
  • Third-party data sharing as disclosed in Privacy Policy

8.2 Consent to Data Processing

By using Andrea, you consent to:

  • Collection and processing of voice data
  • Transmission of data to Anthropic's Claude API
  • Storage of encrypted OAuth tokens
  • Processing of conversation history
  • Use of third-party services for speech recognition

8.3 Your Data Rights

You have rights to:

  • Access, correct, or delete your data
  • Export your data in portable format
  • Withdraw consent for data processing
  • Lodge complaints with supervisory authorities (GDPR)

9. Payment and Subscription Terms

9.1 Free Tier (if applicable)

Andrea may offer a free tier with limited features. Free tier usage is subject to:

  • Usage limitations and rate limits
  • Feature restrictions
  • Availability of free tier (may be modified or discontinued)

9.2 Paid Subscriptions (if applicable)

If you purchase a paid subscription:

  • Fees are billed in advance on a recurring basis (monthly or annually)
  • You authorize us to charge your payment method
  • Subscriptions auto-renew unless cancelled
  • Price changes will be communicated 30 days in advance
  • No refunds for partial months or unused time

9.3 Payment Processing

  • Payments processed through secure third-party providers
  • You must provide accurate billing information
  • Failed payments may result in service suspension
  • You are responsible for any payment processing fees

9.4 Cancellation

  • You may cancel your subscription at any time through App settings
  • Cancellation effective at end of current billing period
  • Access continues until end of paid period
  • No prorated refunds for early cancellation

10. Disclaimers and Limitations of Liability

10.1 SERVICE PROVIDED "AS IS"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT, ACCURACY, OR RELIABILITY
  • UNINTERRUPTED, SECURE, OR ERROR-FREE OPERATION
  • RESULTS OR OUTCOMES FROM USE OF THE SERVICE

10.2 No Warranty for AI Content

WE DO NOT WARRANT THAT:

  • AI-generated content is accurate, complete, or reliable
  • The Service will meet your requirements or expectations
  • Errors or defects will be corrected
  • The Service is free from viruses or harmful components

10.3 Third-Party Service Disclaimer

WE ARE NOT RESPONSIBLE FOR:

  • Availability or performance of third-party services
  • Actions taken by third-party services based on Andrea's commands
  • Content, accuracy, or reliability of third-party services
  • Changes to third-party APIs or terms

10.4 LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SILVER FLIGHT GROUP, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

Indirect Damages:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Loss of goodwill or reputation
  • Service interruptions or data loss

Direct Damages Cap:

Our total liability for direct damages is limited to the greater of:

  • $100 USD, or
  • Amount you paid us in the 12 months before the event giving rise to liability

10.5 Exceptions

Some jurisdictions do not allow limitations on warranties or liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

11.1 Your Indemnification Obligation

You agree to indemnify, defend, and hold harmless Silver Flight Group, LLC, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Violation of these Terms
  • Violation of third-party rights (intellectual property, privacy, etc.)
  • Violation of laws or regulations
  • Content you submit through Andrea
  • Actions taken by third-party services based on your commands through Andrea

11.2 Defense and Settlement

We reserve the right to:

  • Assume exclusive defense and control of any matter subject to indemnification
  • Require your cooperation in defending such claims
  • Approve any settlement that affects our rights or obligations

12. Dispute Resolution and Arbitration

12.1 Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law provisions.

12.2 Informal Dispute Resolution

Before filing a claim, you agree to contact us at support@silverflightgroup.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

12.3 Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Arbitration Terms:

  • Arbitration will be conducted in Contra Costa County, California
  • Either party may seek injunctive relief in court to prevent irreparable harm
  • The arbitrator's award is binding and may be entered as judgment in any court

12.4 Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES WITH US ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE PROCEEDINGS.

12.5 Small Claims Court

Either party may bring a claim in small claims court instead of arbitration if the claim qualifies.

12.6 Exceptions

This arbitration provision does not apply to:

  • Claims for injunctive or equitable relief
  • Disputes related to intellectual property rights
  • Claims that cannot be arbitrated under applicable law

13. Term and Termination

13.1 Term

These Terms remain in effect while you use the Service.

13.2 Termination by You

You may terminate your account at any time by:

Upon termination:

  • Your access to the Service will cease
  • Your data will be deleted according to our Privacy Policy
  • Outstanding fees remain due

13.3 Termination by Us

We may suspend or terminate your account immediately if:

  • You violate these Terms
  • We suspect fraudulent, abusive, or illegal activity
  • Required by law or regulatory authority
  • You fail to pay fees (if applicable)
  • For any reason with 30 days' notice

13.4 Effect of Termination

Upon termination:

  • Your license to use the Service terminates immediately
  • You must cease all use of the Service
  • Provisions that should survive termination will continue (e.g., indemnification, dispute resolution, disclaimers)
  • No refunds for prepaid fees

13.5 Data After Termination

After account termination:

  • Personal data deleted within 90 days (except as required by law)
  • OAuth tokens immediately revoked
  • Conversation history permanently deleted
  • Aggregated, anonymized data may be retained

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Silver Flight Group, LLC regarding the Service.

14.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without notice to you.

14.5 No Agency

These Terms do not create any agency, partnership, joint venture, or employment relationship between you and us.

14.6 Force Majeure

We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including:

  • Natural disasters, pandemics, or acts of God
  • War, terrorism, or civil unrest
  • Government actions or regulations
  • Internet or telecommunications failures
  • Third-party service provider failures

14.7 Notice Requirements

Notices to you may be sent:

  • Via email to your registered address
  • Through in-app notifications
  • By posting on our website

14.8 Language

These Terms are provided in English. Any translations are for convenience only, and the English version controls in case of conflict.

You agree to comply with all export control laws and regulations. You may not use the Service in countries subject to U.S. embargoes or sanctions.

15. Special Provisions for Voice and AI Features

15.1 Voice Data Acknowledgment

By using voice features, you explicitly acknowledge and agree that:

  • Your voice will be recorded and transmitted to our servers
  • Voice data may be processed by third-party speech recognition services
  • Voice recordings are deleted after transcription and processing
  • You have authority to record and share any voices captured through the App

15.2 Recording Consent

You are responsible for:

  • Obtaining consent from anyone else whose voice may be recorded through your use of Andrea
  • Complying with applicable recording consent laws in your jurisdiction
  • Not using the voice feature in situations where recording is prohibited

15.3 AI Accuracy and Reliability

You acknowledge that:

  • AI systems are not perfect and may make mistakes
  • AI-generated responses should be reviewed before acting on them
  • Andrea is not a substitute for human judgment, especially in critical situations
  • We do not guarantee the accuracy, completeness, or reliability of AI outputs

15.4 Task Execution

When Andrea executes tasks on third-party services:

  • Actions are performed based on your commands as interpreted by AI
  • You are responsible for reviewing and confirming important actions
  • We are not liable for unintended consequences of AI-interpreted commands
  • You should verify critical actions (sending emails, making payments, etc.)

16. Modifications to Service

16.1 Service Updates

We may modify the Service at any time, including:

  • Adding or removing features
  • Changing user interface or design
  • Updating AI models or capabilities
  • Modifying integration capabilities

16.2 No Guarantee of Features

We do not guarantee:

  • Specific features will always be available
  • Backward compatibility with older versions
  • Support for all devices or operating systems
  • Continued integration with all third-party services

16.3 Service Discontinuation

We may discontinue the Service or any part of it with:

  • 90 days' notice for paid subscribers
  • 30 days' notice for free users
  • Immediate discontinuation if required by law or third-party obligations

18. Acknowledgment

BY CLICKING "I AGREE," CREATING AN ACCOUNT, OR USING THE SERVICE, YOU ACKNOWLEDGE THAT:

  1. You have read and understood these Terms of Service
  2. You agree to be bound by these Terms
  3. You consent to voice data collection and processing
  4. You understand the limitations and disclaimers
  5. You agree to resolve disputes through arbitration
  6. You waive the right to participate in class actions

If you do not agree to these Terms, do not use Andrea.
